The Italian AIM Group companies (including AIM Group International S.p.A., AIM Italy S.r.L., AIM Travel S.r.l., and AIM Education S.r.l.) have adopted, by resolution of the relevant Administrative Body, the "Organizational and Management Model according to Legislative Decree no. 231/2001" and have appointed a special Supervisory Body.
The above mentioned Model, provides rules and general principles of conduct that constitute the system of AIM Group’s values able to ensure correctness and transparency in the business and corporate activities (internal and external). In this way, the Model also emphases, with clarity and full effect, that all the possible forms of unlawful conduct shall always be condemned and deemed contrary to the ethical principles of AIM Group.
This initiative has been undertaken also in the belief that – beyond the provisions of Legislative Decree no. 231/2001 - the adoption of the Model (and of a Code of Ethics) may be also a valid awareness-raising instrument addressed to the directors, all the employees of the AIM Group Companies and all the other subjects who collaborate and interact with the same companies in whatever capacity, so that everyone may follow, in the fulfilment of their duties, correct and linear conducts, such as to prevent any risk of committing the offences contemplated under Legislative Decree no. 231/2001.
The Legislative Decree no. 231/2001 in fact has introduced into the Italian regulations the principle whereby the companies are also financially liable, according to a formally administrative but substantially criminal liability, for the commission of certain offences, fixed by the same Legislative Decree, perpetrated in the company’s interests or for its benefit either by persons in senior positions (so-called top managers) or by operators subject to the direction and supervision of such top managers.
The "Organizational and Management Model according to Legislative Decree no. 231/2001", together with the Supervisory Body that controls and ensures the observance and the updating of the same Model, are the tools with which the Legislative Decree no. 231/2001 provides the company in order to rule out any form of administrative and criminal liability.
To this aim, the "Organizational and Management Models according to Legislative Decree no. 231/2001" adopted by the Group AIM companies contain a set of behavioral protocols that, beyond the employees, all the other subjects who establish contractual relationships with the AIM Group are required to know and respect (specifically for the session of their interest).
